Terms of Service

Welcome to MyPeachy ("Company", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of our website, platform, APIs, and AI engineering services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

MyPeachy is an AI research and engineering company that builds production-ready AI systems for businesses. Our services include but are not limited to:

• Voice AI agents and conversational systems;
• AI-powered video and image generation;
• Custom model development, fine-tuning, and RAG pipelines;
• AI automation and multi-agent workflow systems;
• MLOps infrastructure, model serving, and monitoring;
• Computer vision and document processing solutions.

2. Eligibility

The Service is intended for businesses and individuals who are at least 18 years old or the age of majority in their jurisdiction. By using the Service, you represent that you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

3. Account Registration

To access certain features, you may need to create an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Client Engagements

Project-based engagements between MyPeachy and clients are governed by separate Statements of Work ("SOW") or Service Agreements. In the event of a conflict between these Terms and a signed SOW, the SOW shall prevail for that specific engagement.

5. Intellectual Property

5.1 Our IP

The Service, including its software, design, content, proprietary models, and documentation, is owned by MyPeachy and protected by intellectual property laws. Nothing in these Terms transfers ownership of our IP to you.

5.2 Client IP

Unless otherwise specified in a SOW, clients retain ownership of their data, custom models trained exclusively on their data, and deliverables produced under a paid engagement. We may retain the right to use general knowledge, techniques, and non-confidential methodologies developed during engagements.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws;
• Reverse engineer, decompile, or disassemble any part of the Service;
• Attempt to gain unauthorized access to any systems or networks connected to the Service;
• Use the Service to develop competing products or services;
• Resell, sublicense, or redistribute the Service without written consent;
• Transmit malware, viruses, or other harmful code through the Service;
• Use the Service to generate content that violates third-party rights or applicable law.

7. Payments

Fees for our services are outlined in the applicable SOW, subscription plan, or pricing page. Unless otherwise agreed:

• All fees are stated in USD;
• Payment is due within 30 days of invoice date;
• Late payments may incur interest at 1.5% per month;
• We reserve the right to suspend services for overdue accounts.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's proprietary information disclosed during the course of the engagement. This obligation survives termination of these Terms for a period of two (2) years.

9. Data Processing

To the extent we process personal data on your behalf, we act as a data processor. Data processing is governed by our Privacy Policy and, where applicable, a separate Data Processing Agreement.

10. Service Level

We strive for high availability and reliability across all production deployments. Specific SLAs, uptime guarantees, and support response times are defined in individual client agreements.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AI-GENERATED OUTPUTS MAY CONTAIN ERRORS AND SHOULD BE VALIDATED BEFORE USE IN PRODUCTION SYSTEMS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYPEACHY'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You agree to indemnify and hold harmless MyPeachy from claims arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately for material breach. Upon termination, your right to use the Service ceases, and we may delete your data after a reasonable retention period unless otherwise required by law.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation before resorting to formal proceedings.

16. Changes

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website. Continued use of the Service after changes constitutes acceptance.
